These Terms of Service ("Terms") constitute a legally binding agreement between you and Arbico Labs LLC ("Arbico Labs," "we," "us," or "our"). By accessing or using arbicolabs.com or any software product operated by Arbico Labs (including NeoUGC), you agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with any part of these Terms, you must not use our services.
We may update these Terms from time to time. Continued use of our services after any changes constitutes acceptance of the new Terms.
Arbico Labs LLC is a limited liability company registered in the State of Wyoming, United States. We design, build, and operate software products and digital brands. Our current and upcoming products include AI-powered tools for content creators and direct-to-consumer businesses, including NeoUGC.
Our registered place of business is in Wyoming, and these Terms are governed by the laws of that state.

Certain Arbico Labs products are offered on a recurring subscription basis. By subscribing, you agree to the following:
Subscriptions automatically renew at the end of each billing cycle (monthly or annually, as selected) unless you cancel before the renewal date. By subscribing, you authorize Arbico Labs to charge your payment method on file for each renewal period at the then-current subscription price.
All payments are processed securely by Stripe, a third-party payment processor. By providing your payment information, you agree to Stripe's terms of service. We do not store your full card number on our servers.
We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of any price change, either by email or by posting a notice in our product. Your continued use of the service after a price change constitutes your agreement to pay the new price.
If a payment fails, we may attempt to re-process the charge and will notify you by email. If payment cannot be collected after reasonable attempts, we may suspend or terminate your access to the service.
All subscription fees are non-refundable. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period and you will retain access until that date. No prorated refunds are issued for partial months or unused time remaining in a billing period.
For one-time digital product purchases, all sales are final. Due to the nature of digital goods — which are made immediately available upon purchase — we do not offer refunds for one-time purchases once access has been granted.
Exceptions to this policy may be granted at our sole and absolute discretion in cases of demonstrable technical failure on our part that prevented you from accessing the service. To request a refund exception, contact us at [email protected] within 7 days of the charge in question, with a description of the issue.
This refund policy does not affect any statutory rights you may have under applicable consumer protection laws.

All content, features, and functionality of our services — including but not limited to text, graphics, logos, software code, algorithms, user interface design, and branding — are the exclusive property of Arbico Labs LLC or its licensors and are protected by United States and international intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, logos, or domain names.
You retain full ownership of any content you create, upload, or generate using our tools. By submitting content to our platform, you grant Arbico Labs a limited, non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display that content solely as necessary to provide and operate the service for you. This license terminates when you delete your content or close your account.
You represent and warrant that you own or have all necessary rights to the content you submit, and that your content does not infringe any third party's intellectual property, privacy, or other rights.
If you provide us with feedback, suggestions, or ideas about our services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without compensation or attribution to you.
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARBICO LABS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
AI-generated outputs produced by NeoUGC or any other Arbico Labs product are provided for creative and commercial use purposes. We make no guarantee as to the fitness of any AI-generated content for any particular advertising platform, regulatory compliance, or commercial outcome. You are solely responsible for reviewing, approving, and ensuring the appropriateness of any AI-generated content before use.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARBICO LABS LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).
IN ALL CASES, ARBICO LABS LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO ARBICO LABS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by applicable law.
You may stop using our services at any time. To terminate a paid subscription, you must cancel it through your account settings or by contacting us before your next renewal date. Termination does not entitle you to a refund of any pre-paid fees.
We reserve the right to suspend or permanently terminate your access to our services, with or without notice, if we determine in our sole judgment that you have violated these Terms, your account has been involved in fraudulent activity, or continued provision of the service creates legal or business risk for Arbico Labs. In cases of material violation, termination may be immediate and without refund.
Upon termination, your right to access and use the services ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, limitation of liability, and governing law) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming. You consent to personal jurisdiction in those courts and waive any objection to venue.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
We reserve the right to modify these Terms at any time. When we do, we will update the "Effective Date" at the top of this page. For material changes — those that significantly affect your rights or obligations — we will make reasonable efforts to notify you via email (if we have your address on file) or by displaying a prominent notice on our website.
Your continued use of our services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using our services and cancel any active subscriptions.
Entire Agreement: These Terms, together with our Privacy Policy and any additional terms specific to a particular product, constitute the entire agreement between you and Arbico Labs with respect to the subject matter hereof.
Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer any rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms freely, including in connection with a merger, acquisition, or sale of assets.
